Hygie31 accélère son expansion européenne avec Navi Group et s’implante en Irlande

Après la France, l’Espagne et l’Italie, Hygie31 poursuit la construction de son réseau européen. Le groupe prend une participation majoritaire dans Navi Group, acteur majeur de la pharmacie indépendante en Irlande. Une opération qui lui permet de fédérer désormais plus de 3 500 pharmacies affiliées en Europe et, surtout, de faire de l’Irlande une tête de pont vers les marchés anglophones.

La consolidation du paysage officinal européen se poursuit. Hygie31 annonce la prise d’une participation majoritaire dans Navi Group, groupe irlandais spécialisé dans les services, les achats et les solutions technologiques destinés aux pharmacies indépendantes.

L’opération permet au groupe français, déjà implanté en Espagne et en Italie, d’entrer sur un quatrième marché européen. Elle lui apporte également sa première implantation dans un pays anglophone, avec l’ambition affichée d’utiliser à terme cette nouvelle plateforme pour étudier d’autres opportunités internationales.

Plus de 3 500 pharmacies affiliées en Europe

Fondé en 2009 par le pharmacien John Carroll, Navi Group emploie aujourd’hui 90 collaborateurs et génère 700 millions d’euros de volume d’affaires via ses différentes plateformes.

Le groupe s’est notamment développé autour d’Axium Buying Group, présenté comme le premier groupement d’achats irlandais avec plus de 600 pharmacies affiliées, représentant près de 30 % du marché national.

Navi anime également un réseau d’environ 100 officines à travers les enseignes CarePlus Pharmacy et StayWell Pharmacy et dispose d’une activité technologique couvrant différents besoins de l’officine : dispensation, encaissement, gestion des achats, analyse de données ou encore pilotage de la performance.

Avec cette nouvelle opération, Hygie31 revendique désormais plus de 3 542 pharmacies affiliées en Europe, dont plus de 440 sous enseigne Pharmacie Lafayette, pour un volume d’affaires cumulé supérieur à 6 milliards d’euros.

Le groupe poursuit ainsi rapidement son internationalisation. En Espagne, Hygie31 España réunit déjà plus de 430 pharmacies affiliées autour de Farmacia Lafayette et de plusieurs groupements régionaux. En Italie, son rapprochement avec GalileoLife lui a donné accès à un réseau de plus de 610 pharmacies.

Mutualiser les moyens sans intégrer le capital des officines

Au-delà de son changement de dimension, Hygie31 entend développer un modèle européen fondé sur le maintien de l’indépendance des titulaires.

Une stratégie qui répond à plusieurs évolutions auxquelles sont confrontées les pharmacies de proximité : pression croissante sur leur rentabilité, concentration de la distribution, sécurisation des approvisionnements mais aussi développement de nouvelles missions de santé, de la prévention au dépistage en passant par la vaccination.

Hygie31 et Navi Group veulent ainsi proposer aux pharmaciens irlandais une alternative aux modèles de chaînes intégrées : conserver la propriété et l’indépendance de leur officine tout en bénéficiant de moyens mutualisés à une échelle beaucoup plus importante.

Le rapprochement doit notamment permettre d’élargir les volumes négociés auprès des laboratoires et de renforcer les conditions d’achat des pharmacies adhérentes.

Achats, marques exclusives et data : trois synergies prioritaires

Trois grands axes de développement ont d’ores et déjà été identifiés.

Le premier concerne les achats paneuropéens. L’intégration des volumes d’Axium Buying Group doit renforcer la capacité de négociation d’Hygie31 auprès des laboratoires internationaux, notamment sur les médicaments génériques, les produits OTC et la parapharmacie. L’objectif affiché est double : améliorer les conditions d’achat et sécuriser davantage les approvisionnements.

Deuxième axe : l’offre commerciale et les marques exclusives. Navi Group pourra notamment s’appuyer sur certaines composantes développées au sein du réseau Pharmacie Lafayette, tandis que le portefeuille européen de marques exclusives d’Hygie31 doit progressivement être proposé sur le marché irlandais.

Enfin, la technologie et la data constituent un autre volet important de l’accord. Les solutions SaaS développées par Navi Group pourraient être déployées plus largement au sein de l’écosystème européen d’Hygie31 afin d’améliorer le pilotage des officines et le parcours patient.

Un nouvel interlocuteur de poids pour les laboratoires

Pour les acteurs du médicament, de l’OTC, de la parapharmacie mais également des compléments alimentaires, cette évolution mérite d’être suivie de près.

La constitution de réseaux de pharmacies de dimension paneuropéenne est susceptible de faire évoluer les rapports entre laboratoires, marques, groupements et officines. La mutualisation des achats, le développement de portefeuilles de marques exclusives et le partage de données à l’échelle de plusieurs pays renforcent notamment le poids de ces acteurs dans les négociations commerciales et les stratégies de référencement.

L’enjeu ne porte donc plus uniquement sur la taille des réseaux. Il concerne également leur capacité à harmoniser certaines offres et certains services tout en conservant les spécificités des marchés nationaux.

L’Irlande comme porte d’entrée vers les marchés anglophones

Hygie31 ne cache d’ailleurs pas ses ambitions au-delà du marché irlandais.

« Après la France, l’Espagne et l’Italie, l’Irlande devient notre porte d’entrée vers les marchés anglophones », indique Hervé Jouves, président d’Hygie31.

Le groupe compte s’appuyer sur John Carroll et les équipes de Navi pour poursuivre le développement de la plateforme en Irlande, mais aussi pour étudier à terme de nouvelles opportunités sur d’autres marchés anglophones.

Avec cette prise de participation, Hygie31 franchit ainsi une nouvelle étape dans sa stratégie : passer progressivement d’un réseau français de pharmacies à un écosystème paneuropéen de l’officine indépendante, combinant puissance d’achat, services, marques et technologies.

Pour l’industrie nutraceutique, cette consolidation constitue également un signal : la distribution officinale s’organise de plus en plus à l’échelle européenne, avec des interlocuteurs capables de peser simultanément sur plusieurs marchés.

The group has acquired a majority stake in Navi Group, a major player in the independent pharmacy sector in Ireland. This transaction now enables it to bring together more than 3,500 affiliated pharmacies in Europe and, most importantly, to establish a foothold in Ireland as a gateway to English-speaking markets.

The consolidation of the European pharmacy landscape continues. Hygie31 announces the acquisition of a majority stake in Navi Group, an Irish group specializing in services, procurement, and technological solutions for independent pharmacies.

The transaction enables the French group, which already has a presence in Spain and Italy, to enter a fourth European market. It also marks its first foothold in an English-speaking country, with the stated ambition of eventually using this new platform to explore other international opportunities.

More than 3,500 affiliated pharmacies in Europe

Founded in 2009 by pharmacist John Carroll, Navi Group currently employs 90 people and generates 700 million euros in revenue through its various platforms.

The group has grown notably around Axium Buying Group, described as Ireland’s leading purchasing group with more than 600 affiliated pharmacies, representing nearly 30% of the national market.

Navi also operates a network of approximately 100 pharmacies under the CarePlus Pharmacy and StayWell Pharmacy brands and offers technology solutions covering various pharmacy needs: dispensing, point-of-sale, purchasing management, data analysis, and performance management.

With this latest acquisition, Hygie31 now boasts more than 3,542 affiliated pharmacies in Europe, including over 440 operating under the Pharmacie Lafayette brand, with a combined revenue exceeding 6 billion euros.

The group is thus rapidly advancing its international expansion. In Spain, Hygie31 España already brings together more than 430 affiliated pharmacies under the Farmacia Lafayette brand and several regional groups. In Italy, its partnership with GalileoLife has given it access to a network of more than 610 pharmacies.

Pooling resources without taking an equity stake in the pharmacies

Beyond its expansion in scale, Hygie31 aims to develop a European model based on maintaining the independence of pharmacy owners.

This strategy addresses several challenges facing community pharmacies: growing pressure on their profitability, consolidation in the distribution sector, securing supply chains, as well as the development of new healthcare roles—ranging from prevention and screening to vaccination.

Hygie31 and Navi Group thus aim to offer Irish pharmacists an alternative to integrated chain models: retaining ownership and independence of their pharmacies while benefiting from pooled resources on a much larger scale.

The partnership is expected, in particular, to increase the volumes negotiated with pharmaceutical companies and improve purchasing terms for member pharmacies.

Purchasing, exclusive brands, and data: three priority synergies

Three major areas of development have already been identified.

The first concerns pan-European purchasing. The integration of Axium Buying Group’s volumes should strengthen Hygie31’s negotiating power with international pharmaceutical companies, particularly regarding generic drugs, OTC products, and over-the-counter health products. The stated objective is twofold: to improve purchasing terms and to further secure supplies.

The second area: the commercial offering and exclusive brands. Navi Group will be able to draw on certain components developed within the Pharmacie Lafayette network, while Hygie31’s European portfolio of exclusive brands will gradually be introduced to the Irish market.

Finally, technology and data constitute another important aspect of the agreement. The SaaS solutions developed by Navi Group could be deployed more widely within Hygie31’s European ecosystem to improve pharmacy management and the patient experience.

A New Key Partner for Pharmaceutical Companies

For players in the prescription drug, OTC, and over-the-counter pharmacy sectors—as well as the dietary supplement sector—this development warrants close attention.

The formation of pan-European pharmacy networks is likely to reshape relationships between pharmaceutical companies, brands, groups, and pharmacies. In particular, consolidated purchasing, the development of exclusive brand portfolios, and cross-border data sharing strengthen these players’ leverage in commercial negotiations and product listing strategies.

The challenge, therefore, is no longer solely about the size of the networks. It also concerns their ability to harmonize certain offerings and services while preserving the specific characteristics of national markets.

Ireland as a Gateway to English-Speaking Markets

Hygie31 makes no secret of its ambitions beyond the Irish market.

“After France, Spain, and Italy, Ireland is becoming our gateway to English-speaking markets,” says Hervé Jouves, president of Hygie31.

The group plans to rely on John Carroll and the Navi teams to continue developing the platform in Ireland, but also to eventually explore new opportunities in other English-speaking markets.

With this equity investment, Hygie31 is taking a new step forward in its strategy: gradually transitioning from a French pharmacy network to a pan-European ecosystem of independent pharmacies, combining buying power, services, brands, and technologies.

For the nutraceutical industry, this consolidation also sends a clear signal: pharmacy distribution is increasingly organized on a European scale, with key players capable of exerting influence across multiple markets simultaneously.
